1. Platform Use

Coolsine is a marketplace designed for the sale of food products and non-alcoholic beverages only. The platform must not be used to offer or sell non-food items such as electronics, apparel, merchandise, or other consumer goods that are not food-related. The sale of tobacco products, illegal or controlled substances, hazardous materials, and other non-food products is strictly prohibited.

Sellers who wish to offer alcohol or other regulated beverages must obtain and maintain all applicable licenses and comply with local laws and platform policies; absent explicit platform approval and required licensing, alcohol is not permitted. Violations of this policy may result in removal of listings, suspension, or termination of accounts.

2. Eligibility

You must be at least 18 years old to use Coolsine. By using our Service, you represent and warrant that you have the legal authority to enter into these Terms.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Use of Service

Coolsine grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You agree not to misuse or disrupt the platform.

5. User Content

You retain rights to your uploaded content and grant us a limited license to use it to operate the Service. You are responsible for the legality and accuracy of your content.

6. Payments, Fees, and Subscriptions

Coolsine offers a free plan and a paid Pro plan billed on a monthly subscription basis. Subscription fees are charged at the start of each billing cycle. All fees are non-refundable unless otherwise required by applicable law. Failure to pay may result in downgrade to the free plan and suspension of Pro features.

Coolsine reserves the right to change subscription pricing, including modifying or discontinuing the free plan, with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

Due to transaction volume limits on digital platforms, Coolsine reserves the right to deactivate accounts on the free plan to prioritize platform performance for paid users. If you are on a free plan, Coolsine may deactivate your account by providing at least 30 days' notice. In the event of deactivation, sellers will have the opportunity to export their data during the notice period, after which the data deletion terms in Section 15 will apply.

Coolsine also reserves the right to discontinue the service entirely with at least 30 days' notice. In the event of discontinuation, sellers will have the opportunity to export their data during the notice period, after which the data deletion terms in Section 15 apply.

You may cancel your subscription at any time through your subscription settings. Upon cancellation, your Pro plan remains active until the end of the current billing period, after which your account reverts to the free plan. No partial refunds are issued for unused time within a billing period.

Coolsine is not the merchant of record for transactions between sellers and their customers. Where sellers use Stripe to collect payments from their customers, those payments are processed directly by Stripe under Stripe's own terms of service. Coolsine does not hold, process, or have access to end-customer payment data, and is not liable for payment disputes between sellers and their customers.

7. Deliveries and Third-Party Services

Coolsine may provide tools to assist with delivery planning, including route optimisation and integration with third-party mapping services. Coolsine is not liable for errors, delays, losses, or damages arising from third-party delivery actions or mapping inaccuracies. Sellers are solely responsible for fulfilling orders and delivering food to their customers safely and on time.

8. Email Marketing and Automated Reminders

Coolsine sends automated reminder emails to end customers on behalf of sellers. By enabling this feature, sellers represent and warrant that they have obtained all necessary consents from their customers to receive such communications, in compliance with the Unsolicited Electronic Messages Act 2007 and any other applicable laws. Sellers indemnify Coolsine against any claims, penalties, or losses arising from a breach of this obligation.

9. Food Safety Liability

Coolsine provides tools that display nutritional information and food allergen tags based solely on data entered by sellers. Coolsine does not independently verify the accuracy of ingredient data, nutritional values, allergen disclosures, or food safety information provided by sellers.

Coolsine expressly disclaims all liability for any allergic reaction, illness, injury, or other harm arising from inaccurate, incomplete, or misleading nutritional or allergen information entered by a seller. Sellers are solely responsible for ensuring that all food safety information displayed through their Coolsine store is accurate, complete, and compliant with applicable food safety laws and allergen labelling requirements.

Sellers agree to indemnify and hold Coolsine harmless from any claims, damages, fines, or legal costs arising from food safety incidents connected to their products or the data they have entered into the platform.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

11. Changes to Terms

Coolsine may update these Terms from time to time. We will notify registered users of material changes by email or via an in-platform notice at least 14 days before the changes take effect. Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your account before the effective date.

12. Intellectual Property

All content, design, software, trademarks, and functionality of the Coolsine platform belong to Coolsine or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the platform without prior written consent from Coolsine.

13. Data and Privacy

By using Coolsine, you agree to our Privacy Policy, which is incorporated into these Terms by reference. Coolsine complies with the Privacy Act 2020 (New Zealand) in respect of personal information it holds. Sellers, as data controllers of their own customers' personal information collected through the platform, are independently responsible for complying with the Privacy Act 2020 and any other applicable data protection laws.

14. Service Availability

Coolsine will use reasonable efforts to maintain platform availability. However, we do not guarantee uninterrupted or error-free service. We may perform scheduled or emergency maintenance that temporarily limits access. Coolsine is not liable for any loss or inconvenience resulting from downtime or service interruptions.

15. Termination and Data Deletion

Coolsine may suspend or terminate your account if you breach these Terms or engage in conduct that harms the platform or its users. You may also terminate your account at any time through your account settings.

Upon termination, your access to the platform will cease. Seller data, including menus, orders, and customer lists, will be deleted within 30 days of the termination date. Sellers are responsible for exporting any data they wish to retain before terminating their account. Coolsine is not liable for any loss of data following account termination.

16. Limitation of Liability

The Service is provided "as is" and "as available" without any warranties, express or implied, including but not limited to warranties of fitness for a particular purpose, merchantability, accuracy, or uninterrupted availability.

To the maximum extent permitted by applicable law, Coolsine's total liability to you for any claim arising out of or relating to these Terms or your use of the Service shall not exceed the total fees you paid to Coolsine in the 12 months preceding the claim. Coolsine is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

17. Indemnification

You agree to indemnify, defend, and hold harmless Coolsine and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or relating to your use of the Service, your content, your breach of these Terms, or your violation of any applicable law or third-party right.

18. Food Safety and Allergen Compliance

Sellers must comply with all applicable food safety laws, labelling requirements, and allergen disclosure obligations in their jurisdiction, including but not limited to the Food Act 2014 (New Zealand) and relevant Food Standards Australia New Zealand (FSANZ) standards. Sellers must provide accurate ingredient lists, clearly disclose all common allergens, and ensure proper handling, storage, and tamper-resistant packaging of food products.

19. Licences and Permits

Sellers are solely responsible for obtaining and maintaining all permits, licences, registrations, and certifications required by law to prepare, sell, and distribute food in their jurisdiction. This includes, where applicable, food handler certificates, home occupation consents, and any other local authority or regulatory requirements. Coolsine does not verify whether sellers hold the required authorisations and is not liable for any regulatory non-compliance by sellers.

20. Prohibited Items

The following are prohibited on the Coolsine platform: non-food items; illegal or controlled substances; alcohol without express platform approval and required licensing; tobacco products; unsafe or hazardous food products; and any items requiring regulatory approvals or special handling that the platform does not support. Coolsine reserves the right to remove any listing and suspend any account that violates this policy.

21. Refunds and Cancellations

Refund and cancellation policies for customer orders are set and managed by sellers. Where sellers use Stripe as their payment platform, they must follow Stripe's procedures when processing refunds and cancellations. Refunds may be appropriate in cases of food safety issues, incorrect orders, or delivery failures. Coolsine is not a party to transactions between sellers and their customers and is not responsible for processing or funding customer refunds.

22. Pricing and Taxes

Sellers must display accurate and up-to-date pricing on their Coolsine store. Sellers are solely responsible for determining, collecting, and remitting any applicable taxes, duties, GST, or other fees required by law in connection with their sales. Coolsine does not calculate or withhold taxes on behalf of sellers.

23. Shopping List Algorithm

Coolsine calculates shopping lists based on the ingredient proportions and weight change factors entered by sellers. The accuracy of generated shopping lists depends entirely on the accuracy of the data provided. If a shopping list appears incorrect, sellers should review and adjust their ingredient proportions and weight change factors so that recipes reflect actual portions. Coolsine is not liable for purchasing errors, waste, or shortfalls resulting from inaccurate data entered by sellers.

24. Nutritional Information and Food Allergen Tags

Coolsine automatically calculates estimated nutritional values, including calories, protein, carbohydrates, fat, and fibre, and displays food allergen tags for meals based on ingredient data entered by sellers. These values are estimates only and are not a substitute for professional nutritional analysis. If nutritional information or allergen tags appear incorrect, sellers must review and update their ingredient data accordingly. Coolsine is not liable for any harm arising from reliance on nutritional or allergen information generated from inaccurate seller-provided data.
